The Bison Review Newsletter Signs Up Companies for Its Initial Issue
Bison has signed up 4 companies for its initial The Bison Review web site
publication due to be released in December. Listing companies will include
a Georgia-based outsourced business services company, a Connecticut-based
health care company, a Connecticut-based corporate gifting company, and
a New York-based marketing reserach company. The Bison Review is a web
site-based newsletter that provides a marketing service to companies of
up to $5 million in revenues seeking to raise capital of up to $2 million.

New Product Development Initiative for Life Settlement Provider
Bison is advising a Northeast-based life settlements provider, which is
exploring strategic options for a new business lines. The life settlement
market has developed significantly over the last decade. Life settlements
are the active secondary market for the purchase and sale of life insurance
policies principally from seniors and corporations, which have key man
policies for senior retiring executives.

Competitive Intelligence Services for Private Equity Sponsors
Bison provided a New York-based mezzanine fund with a competitive intelligence
service combining traditional investigative services on key management
principals with related customer and vendor interviews and validation
of market share, competitor, and product information. Bison has worked
closely with a Greenwich-based competitive intelligence company serving
the needs of major capital markets-oriented investment banking/hedge fund
customers to develop this service. To date, the New York-based mezzanine
fund has used Bison's affiliated provider for due diligence services on
two consecutive transactions.

Equity Capital Raise and Working Capital Facility for Ethnic Food Importer
and Marketer
Bison has been engaged by a Massachusetts-based importer and marketer
of authentic Asian foods to raise $2 million of equity capital and arrange
a $1 million line-of-credit facility to help fund the company's working
capital requirements, marketing program, and additional staffing needs.
The company has exclusive U.S. distribution rights for 4 key product lines
selected for their "crossover" appeal to mainstream Asian and
non-Asian consumers and has secured significant orders and authorizations
from major mainstream food distributors and retailers in the U.S.

Equity Capital Raise for Events Marketing Company
Bison has been engaged by a North Carolina-based events marketing company
to raise up to $4 million in equity capital to fund the hiring of operational,
sales, and marketing staff, and finance contractual deposits required
for a 10-year contract to stage a major annual family-oriented exposition
in Orlando. The company has secured significant sponsorships from major
consumer brand companies and is developing a series of complimentary entertainment
and leisure concepts.

Mezzanine Debt Raise for a Private Equity Sponsor
Bison has been engaged by a Connecticut-based private equity sponsor to
raise $2.25 million of mezzanine financing to complete the financing for
a $7.5 million buyout transaction of a Southeast-based manufacturing company.
The sponsor has a signed a LOI commitment with the target management team
who will continue as key executives while maintaining an ownership position
in the company.

Business Development Affiliation with a Specialty Finance Company
Bison has entered into an affiliation agreement with a Northeast-based
finance company that specializes in highly structured debt transactions
that leverage nontraditional assets and cash flows. Bison will source
transaction opportunities that take advantage of the company's unique
financial structures and dual agency/principal capabilities.

Equity Capital Raise and Strategic Marketing Study for a Corporate Gifting
Solutions Company
Bison has been retained by a Connecticut-based corporate gifting solutions
company to raise up to $1 million or more to help fund its core operations;
hire additional sales, marketing, and management staff; and provide working
capital funding. The company utilizes nonperishable gourmet foodstuffs,
spa and lifestyle gifts, traditional desktop accessories, and logo promotional
items in designing uniquely bundled gift packages for use by corporations
in employee and customer recognition programs, sales, and marketing support
and event/conference planning. Current clients include major Fortune 500
corporations. Bison has also arranged for a Tuck Business School project
team to produce a strategic marketing study for the company in the fall
of 2004.

Equity and Mezzanine Capital Raise for an Internet-Based Mortgage Origination/Banking
Company
Bison has been retained by a Massachusetts-based mortgage origination,
processing, and mortgage banking company to raise up to $5 million of
convertible preferred stock and a follow-on financing of up to $10 million
of mezzanine debt. The financing will be used to fund the company's high
growth loan processing/business process outsourcing initiative as well
as capitalize the firm to raise a larger mortgage warehouse line to help
expand its new mortgage banking operation. The company is currently ranked
in the top 1% of mortgage origination companies in the U.S. and will be
recognized in 2004 in Inc. Magazine's 500 list for the fastest
growing privately held businesses in the U.S.

Equity Capital Raise for a Public Equity Focused Independent Research
Company
Bison has been retained by a New York-based company that has developed
a sophisticated and innovative software that produces analytical, fact-based
independent research on more than 5,000 publicly traded stocks and has
active ratings on more than 3,500 stocks. Bison has been engaged to raise
up to $1 million or more in equity funding to help market and commercialize
the company's research product. The company has already invested significant
analytical and programming resources resulting in over 1 million lines
of code and a fully functioning web site service. The company has developed
an unique analytical model that breaks down its universe of stocks into
multiple sectors, industries, and subindustries, which it uses to relatively
rank individual stock performance.

Warehouse Line of Credit for a Health Care Finance Company
Bison is serving as a Coadvisor with a West Coast-based merchant bank
to raise a warehouse line of credit of up to $100 million line for an
established West Coast-based health care finance company that purchases
the insured portion of high-quality insurance company and Medicare/Medicaid
receivables. The line of credit will be used to expand and make more flexible
the financing capabilities of the company, which to date has been funded
through the private placement of senior secured notes. The target market
includes underserved middle market sellers such as: small to medium-sized
hospitals, radiology/diagnostic medical facilities, multiple physician
groups, rehabilitation/physical therapy practices, home health care/medical
staffing services, and durable medical equipment distributors.
